These Terms of Service, together with any policies, rules, community standards, challenge rules, token rules, privacy policy, risk disclosures, and supplemental terms incorporated by reference (collectively, the “Terms”), govern your access to and use of the WAG3R platform, website, mobile applications, social features, feeds, wallets, token-related features, skill-based competitions, digital services, content tools, and related products or services made available by Wage The Game Inc., a Delaware corporation (“WAG3R,” “Company,” “we,” “us,” or “our”).
By creating an account, connecting a wallet, accessing the Platform, receiving, holding, transferring, earning, staking, or using W3R, participating in any skill-based challenge, uploading content, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Platform. Your continued use of the Platform after any update to these Terms constitutes your acceptance of the revised Terms.
These Terms contain important provisions that affect your legal rights, including a binding arbitration agreement, class action waiver, jury trial waiver, limitation of liability, assumption of risk, release of claims, and provisions allowing WAG3R to suspend accounts, freeze token balances, void results, reverse activity, remove content, restrict access, and terminate accounts at its sole discretion.
Please read these Terms carefully. By using the Platform, you agree that disputes will generally be resolved through individual arbitration and not in court, not by jury trial, and not as part of a class, collective, consolidated, private attorney general, or representative action.
You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old, are not barred from using the Platform under applicable law, and are using the Platform only in a jurisdiction where such use is lawful.
Use of the Platform is void where prohibited. You are solely responsible for determining whether your access to or use of the Platform, W3R, wallets, token transfers, skill-based challenges, or any related feature is legal in your jurisdiction.
WAG3R may require identity, age, location, wallet, sanctions, or eligibility verification at any time. We may deny, suspend, restrict, or terminate access if we cannot verify your eligibility or if we determine, in our sole discretion, that your use presents legal, regulatory, security, fraud, safety, reputational, or operational risk.
WAG3R is a social, entertainment, and skill-based competition platform that may allow eligible users to create profiles, upload content, interact through feeds, participate in skill-based challenges, use in-platform functionality, and earn, transfer, stake, or otherwise use W3R, a Solana-based digital token.
WAG3R does not offer fiat-money deposits or fiat-money withdrawals through the Platform. WAG3R is not a bank, casino, sportsbook, broker-dealer, investment adviser, exchange, money transmitter, financial institution, or fiduciary. Nothing on the Platform is intended as financial, investment, legal, tax, or gambling advice.
All Platform activity is provided for entertainment, social, competitive, and utility purposes only, subject to these Terms and all applicable laws.
The Platform may allow users to participate in skill-based challenges, stake-based competitions, ranking systems, contests of skill, or other competitive experiences where outcomes are intended to be determined predominantly by user skill, performance, knowledge, strategy, accuracy, timing, judgment, or other skill-based criteria.
WAG3R does not permit games of chance, raffles, lotteries, sweepstakes, sportsbook wagering, casino-style gambling, or event betting on the Platform. Users may not create, structure, manipulate, describe, or use any Platform feature as a game of chance, lottery, raffle, sportsbook, casino product, or unlawful gambling activity.
Users may be able to stake W3R in connection with skill-based challenges. A user may win, lose, earn, transfer, or forfeit W3R depending on challenge rules, Platform rules, moderation decisions, fraud review, eligibility checks, technical outcomes, and WAG3R’s final determination.
WAG3R reserves the sole and final right to determine challenge eligibility, scoring, results, disputes, settlement, forfeiture, reversals, and whether any activity violates these Terms or applicable law.
W3R is a Solana-based digital token intended for use with Platform features, including social, entertainment, utility, engagement, reward, transfer, and skill-based competition functionality.
W3R is not intended to represent equity, stock, ownership, membership interest, debt, profit-sharing rights, voting rights, dividend rights, revenue rights, governance rights, redemption rights, repayment rights, or any ownership interest in Wage The Game Inc. or any affiliate.
W3R is not marketed or offered as an investment. You must not acquire, hold, use, stake, transfer, or receive W3R with an expectation of profit from the efforts of WAG3R or any other person. WAG3R makes no representation that W3R will increase in value, maintain value, have liquidity, be listed on any exchange, be supported by any marketplace, or be usable outside the Platform.
WAG3R has no obligation to redeem, repurchase, exchange, convert, support, list, maintain liquidity for, or provide any cash, cryptocurrency, stablecoin, fiat currency, or other value in exchange for W3R.
WAG3R may, in its sole discretion, issue, grant, credit, reward, distribute, reduce, modify, suspend, revoke, expire, claw back, or otherwise adjust W3R or other digital rewards in connection with Platform activity, promotional activity, social engagement, rankings, achievements, skill-based challenge outcomes, moderation incentives, referrals, campaigns, or other features.
Any W3R rewards, grants, credits, bonuses, emissions, promotional allocations, or incentive programs are discretionary, revocable, subject to change, and may be modified or discontinued at any time without notice.
No reward, token balance, ranking, challenge result, promotion, or Platform display creates any vested right, ownership claim, entitlement, guaranteed payout, cash-equivalent right, or obligation by WAG3R unless expressly required by applicable law.
The Platform may support both custodial wallet functionality managed or facilitated by WAG3R or its service providers and non-custodial external wallet functionality, including Solana wallet connections such as Phantom or other compatible wallets.
You are solely responsible for maintaining the security of your account, wallet, device, private keys, seed phrases, passwords, two-factor authentication, connected applications, and wallet approvals. WAG3R is not responsible for losses caused by lost keys, compromised wallets, phishing, malware, unauthorized wallet approvals, user error, wallet-provider failures, blockchain errors, smart-contract vulnerabilities, chain forks, failed transactions, RPC failures, network congestion, or third-party services.
For custodial wallet features, WAG3R may hold, control, restrict, freeze, debit, credit, reverse, or adjust token balances as permitted by these Terms, Platform rules, fraud controls, legal obligations, or operational requirements. Custodial balances shown in the Platform may be subject to reconciliation, review, correction, suspension, or forfeiture.
For external wallets, blockchain transactions may be irreversible. WAG3R does not guarantee that transactions can be canceled, reversed, recovered, or corrected once submitted to a blockchain.
WAG3R does not currently provide fiat deposits, fiat withdrawals, fiat cash-outs, fiat redemption, or fiat conversion through the Platform. Any third-party exchange, marketplace, liquidity venue, wallet provider, payment provider, or blockchain service is independent from WAG3R unless expressly stated otherwise.
If W3R becomes listed, quoted, traded, or transferable through third-party exchanges or marketplaces, WAG3R does not control and is not responsible for such third-party activity, pricing, liquidity, availability, custody, compliance, listings, delistings, market volatility, trading losses, or user transactions outside the Platform.
WAG3R makes no promise that W3R will ever be listed, tradeable, liquid, convertible, accepted, supported, or redeemable by any third party.
You may be required to create an account, provide information, verify your identity or age, connect a wallet, or complete other onboarding steps to access certain Platform features. You agree to provide accurate, current, and complete information and to keep such information updated.
You are responsible for all activity that occurs under your account, wallet, device, credentials, or connected services, whether or not authorized by you. You must immediately notify WAG3R of any suspected unauthorized access, compromised wallet, compromised credentials, fraud, security breach, or suspicious activity.
You may not sell, rent, transfer, share, sublicense, assign, delegate, or provide access to your account to any other person. You may not create or use multiple accounts to evade limits, manipulate challenges, bypass enforcement, obtain rewards, conceal identity, or gain an unfair advantage.
WAG3R may suspend, restrict, freeze, terminate, or refuse service to any account, wallet, user, device, IP address, or related identity at any time, with or without notice, if WAG3R determines that such action is necessary or appropriate.
You agree not to engage in conduct that WAG3R determines, in its sole discretion, to be harmful, fraudulent, abusive, deceptive, manipulative, unlawful, anti-competitive, unsafe, disruptive, or contrary to the integrity of the Platform.
WAG3R reserves the unrestricted right to investigate, suspend, freeze, terminate, restrict, remove content, void challenge results, reverse token activity, seize rewards, claw back W3R, or report activity to authorities where WAG3R determines misconduct, fraud, manipulation, or risk may exist.
Challenge outcomes, rankings, stake settlements, scoring, moderation decisions, and token distributions are subject to Platform rules, verification systems, fraud review, technical validation, moderation review, and WAG3R’s final determination.
WAG3R may suspend, delay, void, modify, overturn, freeze, cancel, reverse, adjust, or refuse to settle any challenge if WAG3R suspects fraud, collusion, technical malfunction, exploitation, abuse, manipulation, identity issues, moderation concerns, suspicious activity, regulatory concerns, sanctions concerns, or operational risk.
WAG3R may freeze, seize, claw back, deduct, offset, reverse, or forfeit W3R connected to suspicious conduct, Platform abuse, exploit activity, moderation violations, multi-accounting, artificial gameplay, coordinated behavior, fraud, botting, chargeback-equivalent abuse, sanctions concerns, or violation of these Terms.
All WAG3R determinations concerning challenge validity, settlement, moderation, eligibility, forfeiture, reversal, ranking, reward eligibility, and Platform integrity shall be final, binding, and non-appealable to the maximum extent permitted by law.
The Platform may allow you to upload, publish, stream, transmit, display, share, comment on, message, or otherwise provide text, images, videos, usernames, profile information, audio, graphics, metadata, or other content (“User Content”).
You retain ownership of User Content you lawfully own. However, by posting, uploading, publishing, or submitting User Content, you grant WAG3R a worldwide, irrevocable, perpetual, sublicensable, transferable, royalty-free, fully paid, non-exclusive license to host, reproduce, modify, adapt, publish, display, distribute, store, cache, perform, analyze, train moderation systems upon, create derivative works from, market, promote, monetize, and otherwise use such content in connection with operating, improving, promoting, securing, and commercializing the Platform.
You represent and warrant that:
WAG3R may remove, moderate, demonetize, suppress, label, restrict, block, delete, shadow-limit, deprioritize, or permanently erase User Content at any time and for any reason or no reason, in its sole discretion.
WAG3R reserves the unrestricted right, in its sole discretion and without liability, to:
Nothing in these Terms obligates WAG3R to maintain availability of any feature, reward structure, token mechanic, social feature, ranking system, challenge type, wallet integration, or Platform functionality.
You knowingly and voluntarily assume all risks associated with using the Platform, participating in skill-based challenges, staking W3R, transferring tokens, interacting with users, connecting wallets, relying on blockchain systems, and engaging with Platform content.
Risks may include token volatility, permanent loss of W3R, wallet compromise, mistaken transfers, smart contract vulnerabilities, blockchain congestion, Solana outages, validator failures, forks, moderation errors, ranking errors, challenge disputes, exploit activity, phishing, social engineering, cyberattack, account compromise, content exposure, fraud, or user misconduct.
You assume sole responsibility for your decisions and acknowledge that WAG3R is not responsible for losses, diminished value, forfeitures, inability to access assets, user misconduct, or third-party failures.
THE PLATFORM IS PROVIDED “AS IS,” “WITH ALL FAULTS,” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAG3R DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, SECURITY, RELIABILITY, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, QUIET ENJOYMENT, OR UNINTERRUPTED OPERATION.
WAG3R DOES NOT WARRANT THAT THE PLATFORM, TOKEN FEATURES, CHALLENGES, RANKINGS, REWARDS, CONTENT, BLOCKCHAIN ACTIVITY, TRANSFERS, WALLET CONNECTIONS, SECURITY FEATURES, OR SERVICES WILL BE ERROR-FREE, SECURE, AVAILABLE, OR CONTINUOUS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAG3R, ITS AFFILIATES, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, AND PARTNERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, PUNITIVE, OR ENHANCED DAMAGES.
THIS INCLUDES DAMAGES ARISING FROM TOKEN LOSS, LOSS OF VALUE, MISSED OPPORTUNITY, LOST PROFITS, LOST DATA, USER DISPUTES, CHALLENGE OUTCOMES, ACCOUNT TERMINATION, CONTENT REMOVAL, WALLET FAILURES, MARKET VOLATILITY, SECURITY INCIDENTS, PLATFORM OUTAGES, OR BLOCKCHAIN FAILURES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAG3R’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE TOTAL FEES PAID TO WAG3R BY YOU, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
To the fullest extent permitted by law, you release and forever discharge Wage The Game Inc., its affiliates, officers, shareholders, employees, contractors, licensors, partners, and service providers from any and all claims, demands, liabilities, damages, losses, rights, controversies, actions, causes of action, obligations, and expenses arising from or related to:

You agree to defend, indemnify, and hold harmless Wage The Game Inc., its affiliates, officers, directors, shareholders, employees, contractors, licensors, service providers, and agents from and against any claims, liabilities, damages, judgments, losses, penalties, fines, investigations, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES INDIVIDUAL, BINDING ARBITRATION OF DISPUTES AND WAIVES YOUR RIGHT TO A JURY TRIAL AND CLASS ACTION.
Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, W3R, wallets, content, challenges, moderation decisions, token transfers, rewards, or your relationship with WAG3R shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules.
Arbitration shall take place in Delaware unless WAG3R elects to permit remote proceedings. The arbitration shall be conducted by a single arbitrator. The arbitrator shall have exclusive authority to resolve all disputes concerning enforceability, arbitrability, scope, interpretation, or applicability of these Terms.
YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, REPRESENTATIVE ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, MASS ARBITRATION, OR JURY TRIAL.
Any claim must be brought individually and within one (1) year after the claim arose, or such claim is permanently barred to the fullest extent permitted by law.
These Terms and any dispute arising from or relating to the Platform shall be governed by the laws of the State of Delaware, without regard to conflicts of law principles.
Except for User Content, the Platform and all associated technology, trademarks, logos, graphics, software, interfaces, rankings, systems, content, databases, code, audiovisual assets, and intellectual property are owned by Wage The Game Inc. or its licensors and are protected by intellectual property laws.
You may not copy, modify, reverse engineer, distribute, scrape, sell, lease, sublicense, frame, reproduce, or exploit any part of the Platform except as expressly authorized in writing by WAG3R.
You represent and warrant that you are not subject to sanctions, embargoes, blocked-party restrictions, or export prohibitions, including those administered by OFAC, and are not located in any prohibited jurisdiction. WAG3R may restrict or terminate access based on sanctions, legal restrictions, or compliance concerns at any time.
You are solely responsible for determining, reporting, paying, and remitting any taxes, duties, reporting obligations, or regulatory obligations arising from your receipt, holding, transfer, staking, disposition, or use of W3R or participation in Platform activity.
WAG3R shall not be liable for delay, interruption, failure, or damages caused by events beyond its reasonable control, including cyberattacks, blockchain failures, Solana outages, validator failures, network congestion, smart contract vulnerabilities, internet outages, government action, sanctions, labor disputes, natural disasters, acts of war, civil unrest, or third-party service failures.
WAG3R may modify, suspend, discontinue, restrict, monetize, redesign, remove, or update any Platform feature, challenge, ranking, reward, wallet integration, token mechanic, moderation system, or Terms at any time, with or without notice. Continued use of the Platform after any change constitutes acceptance of the updated Terms.
By using the Platform, creating an account, connecting a wallet, or interacting with WAG3R electronically, you consent to receive notices, disclosures, updates, and communications electronically and agree that electronic agreements and signatures satisfy any legal requirement that such communications be in writing.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
WAG3R’s failure to enforce any right or provision shall not constitute a waiver of such right or provision.
WAG3R may assign, transfer, or delegate these Terms or any rights or obligations under them without restriction. You may not assign or transfer these Terms without prior written consent.
These Terms constitute the entire agreement between you and Wage The Game Inc. concerning the Platform and supersede all prior or contemporaneous understandings, communications, representations, and agreements relating thereto.
